"PARTNER GARAGE" PARTNERSHIP AGREEMENT
Between MTG AUTO SPORT, a single-shareholder simplified joint-stock company (SASU) with a share capital of 1000 euros, whose registered office is located at 60 rue Francois Ier, 75008 Paris, registered with the Paris Trade and Companies Register (RCS) under no. 940 282 528, SIRET 940 282 528 00014, represented by Mr Gouelou Thibault, hereinafter \"MTG Auto Sport\", and the signatory professional, hereinafter \"the Partner\".
Article 1 - Purpose : to define the conditions under which the Partner benefits from preferential pricing on the products and services offered by MTG Auto Sport on the website mtgautosport.fr.
Article 2 - Pricing benefit : the Partner benefits from a 5% discount on all remapping services and File Service offered by MTG Auto Sport, applicable after validation of their professional application and activation of their \"Partner Garage\" account. This discount does not apply to resold remapping equipment and tools, software licences or credit top-ups, the prices of which remain those displayed on the website.
Article 3 - Eligibility conditions : the Partner declares that they carry out a professional activity in the automotive sector and certifies the accuracy of the information and documents provided, in particular a Kbis extract less than 3 months old.
Article 4 - B2B nature : this agreement is entered into between professionals. The provisions of the Code de la consommation relating to the right of withdrawal do not apply.
Article 5 - Term and termination : open-ended agreement, which may be terminated at any time by written notice (e-mail).
Article 6 - Partner's obligations : strictly professional use of the pricing benefit, with no unauthorised resale or fraudulent use.
Article 7 - Personal data : the documents submitted are processed in accordance with the MTG Auto Sport Privacy Policy and retained for as long as necessary for the commercial relationship.
Article 8 - Electronic signature : the Partner affixes their signature electronically. This signature, together with the recorded timestamp and IP address, constitutes full and unreserved acceptance of these terms and conditions, in accordance with article 1367 of the Code civil.
Article 9 - Confidentiality of technical documents and files : any engine map (ECU/TCU file), DAMOS file, technical procedure, diagnostic document or any other technical file provided by MTG Auto Sport as part of its services is strictly confidential and remains the intellectual property of MTG Auto Sport. The Partner undertakes not to copy, share, resell or pass on these documents to any third party, in any form whatsoever, without the prior written authorisation of MTG Auto Sport. Any breach of this obligation may result in the immediate termination of this agreement, without prejudice to any legal action.
Article 10 - Governing law : French law, with jurisdiction vested in the Paris Commercial Court (Tribunal de Commerce de Paris).
